These Terms and Conditions ("Terms") govern your use of the services provided by Auralis ("we", "us", or "our"), including but not limited to the Auralis AI Operating System — its Auralis Spark and Auralis Engine tiers, and related services.

01Services

Auralis provides modular AI infrastructure for Romanian e-commerce brands. Services include autonomous customer service across channels (Front Desk Engine), automated review collection (Reputation Engine), live operational dashboards (Signal Dashboard), autonomous operational routines, COD voice-verification, and discrete SYSTEMS delivered via the Auralis Spark tier. The specific scope of services is defined in individual client agreements.

02Engagement

By engaging our services, you agree to these Terms. Services begin upon receipt of the agreed fee and mutual agreement on the scope of work.

06Intellectual Property

All AI systems, configurations, prompts, brand-anchor files, custom routines, and proprietary technology used in delivering the Operating System remain the intellectual property of Auralis. Clients receive a non-exclusive, non-transferable license to use the configured system for the duration of their service agreement. Client-specific data (customer interactions, reviews, brand assets) remains the property of the client.

07Data Processing

We process data on behalf of our clients in accordance with our Privacy Policy and applicable data protection regulations (GDPR). A Data Processing Agreement will be provided where required.

08Limitation of Liability

Auralis shall not be liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the fees paid by the client in the 3 months preceding the claim. We are not liable for missed messages, missed bookings, scheduling errors, or operational disruptions caused by third-party service outages beyond our reasonable control (including but not limited to platform outages of Shopify, Meta, WhatsApp, Anthropic, ElevenLabs, Hetzner).

09Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, we will provide all client data in a standard format. The client's obligation to pay for services rendered up to the termination date remains.

10Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of the Netherlands.

11Changes

We reserve the right to update these Terms. Clients will be notified of material changes. Continued use of our services after changes constitutes acceptance.
