Terms & Conditions
These Terms and Conditions ("Terms") govern your use of the services provided by Auralis ("we", "us", or "our"), including but not limited to the Auralis AI Operating System and its modules (Front Desk Engine, Reputation Engine, Signal Dashboard, Content Engine, Auralis Routines, Lead Engine, Mastermind), and related services.
01Services
Auralis provides the Auralis AI Operating System — modular AI infrastructure for Romanian e-commerce brands. Our services include autonomous customer service across all channels, automated cash-on-delivery verification, automated review collection, content generation, autonomous operational routines, paid media management, and team training. The specific scope of services is defined in individual client agreements.
02Engagement
By engaging our services, you agree to these Terms. Services begin upon receipt of the setup fee and mutual agreement on the scope of work. We will deliver the agreed-upon Core system within 7 business days of receiving the configuration details. Larger module bundles (Growth, Operating System tiers) ship within 30 days.
03Pricing & Payment
Pricing is tier-based: Core (€1,500–2,500 setup + €1,000–1,750/month), Growth (€2,500–4,000 setup + €2,000–3,500/month), Operating System (€4,000–7,000 setup + €3,500–5,500/month). Case-study pricing for first-cohort clients is negotiated separately and quoted individually. All fees are due as specified in your service agreement. Late payments may result in service suspension. All prices are exclusive of applicable taxes unless stated otherwise.
04Triple Guarantee
We honor three stacked guarantees on every Core+ tier contract:
- 30-day money-back: full refund if you cancel within the first 30 days from go-live. You retain all data, reviews, conversation history, and infrastructure generated during the trial.
- 7-day Core install or free: if we miss the 7-business-day Core install timeline due to our fault, your setup fee is refunded and we continue at no extra charge until the system is live.
- 99% monthly uptime: on Front Desk Engine. If cumulative downtime exceeds 4 hours in a calendar month, that month is provided free of charge.
The guarantees are conditional on the client providing reasonable access and cooperation for system setup and operation.
05Client Responsibilities
You agree to:
- Provide accurate business information for system configuration
- Grant necessary access via OAuth to the platforms we integrate (Shopify / MerchantPro / WooCommerce, Meta, Google, WhatsApp Business, etc.)
- Respond to setup-related communications in a timely manner
- Use the services in compliance with applicable laws
06Intellectual Property
All AI systems, configurations, prompts, brand-anchor files, custom routines, and proprietary technology used in delivering the Operating System remain the intellectual property of Auralis. Clients receive a non-exclusive, non-transferable license to use the configured system for the duration of their service agreement. Client-specific data (customer interactions, reviews, brand assets) remains the property of the client.
07Data Processing
We process data on behalf of our clients in accordance with our Privacy Policy and applicable data protection regulations (GDPR). A Data Processing Agreement will be provided where required.
08Limitation of Liability
Auralis shall not be liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the fees paid by the client in the 3 months preceding the claim. We are not liable for missed messages, missed bookings, scheduling errors, or operational disruptions caused by third-party service outages beyond our reasonable control (including but not limited to platform outages of Shopify, Meta, WhatsApp, Anthropic, ElevenLabs, Hetzner).
09Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination, we will provide all client data in a standard format. The client's obligation to pay for services rendered up to the termination date remains.
10Governing Law
These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of the Netherlands.
11Changes
We reserve the right to update these Terms. Clients will be notified of material changes. Continued use of our services after changes constitutes acceptance.
